END USER LICENSE AGREEMENT (EULA)

Read the End User License Agreement (EULA) carefully because it represents a binding legal contract between you (Licensee, you, your) and Total Biometric Solutions, LLC (Licensor, we, our) for using our proprietary software, along with its related updates and materials and documentation and services (Software). The process of installing or copying or accessing or using the Software results in automatic acceptance of this Agreement’s terms.

 

1. License Grant

Licensor grants you non-exclusive, non-transferable, non-sublicensable, revocable permissions to use the Software only for your internal business operations and its intended purpose.

 

2. Restrictions

You shall not:

 

Copy, distribute, rent, lease, or sublicense the Software

 

Modification or reverse engineering or decomplication or disassembly of the Software is prohibited

 

Any attempt to bypass software restrictions or security mechanisms is prohibited

 

Any illegal or unauthorized use of the Software for harmful activities is forbidden

 

You must avoid sharing login credentials with others and prevent unauthorized users from accessing the system

 

The Software cannot be transferred to another organization unless Licensor gives written authorization.

 

3. Ownership

The Software is licensed, not sold. Total Biometric Solutions, LLC maintains complete ownership of all rights title and interest in the Software together with all intellectual property rights.

 

4. Data Collection & Privacy

Your usage of the Software requires your agreement to the Privacy Policy regarding the collection and processing of biometric information and other data. Your organization has secured proper consent from all parties while following both GDPR and CCPA and biometric data regulatory standards.

 

5. Updates and Support

Total Biometric Solutions will deliver updates or improvements to the Software. The Agreement will govern all updates unless an alternative agreement explicitly states otherwise. Support services will operate either through a separate agreement or service level agreement (SLA).

 

6. Termination

The Agreement remains valid until termination occurs. Licensor reserves the right to terminate this agreement at any time when you fail to meet any agreement terms. You must stop using the Software and destroy every existing copy after termination.

 

7. Disclaimers

The Software exists in its current form without any warranty claims whether explicit or implied since it does not include merchantability or fitness for specific use or non-infringement warranties. The Software does not come with any assurance regarding error-free performance or uninterrupted operation.

 

8. Limitation of Liability

Total Biometric Solutions, LLC will not be responsible for any indirect or consequential losses or any special or incidental damages including lost data revenue and profits under any circumstances according to the maximum extent allowed by law.

 

9. Compliance & Export Control

The Software usage requires full compliance with all relevant laws and export control regulations. The Software cannot be used in ways that violate U.S. laws nor for destinations or organizations under export restrictions.

 

10. Governing Law

The State of North Carolina will apply its laws to govern this Agreement without using conflict of law principles. All disputes will be handled by courts situated in Wake County NC and you grant exclusive jurisdiction to this court.

 

11. Entire Agreement

This Agreement establishes the complete agreement between Total Biometric Solutions and you concerning the Software and replaces every previous communication.

 

Do not install or use the Software if you do not agree with its terms of this Agreement.
